Department Description:
The ADA Business & Legal Affairs department provides global legal and business affairs support to Alternative Distribution Alliance (“ADA”). ADA provides distribution, sales and label services to a wide variety of third party record labels and artists around the world.
High Level Job Description:
This position will be responsible for negotiating and drafting agreements related to ADA, including arrangements with third party record labels, and coordinating ADA’s day-to-day business affairs, including interdepartmental communication regarding ADA agreements. The position involves both traditional legal roles and business decision-making roles. This role will provide guidance and strategic advice directly to the ADA senior management team and will work closely with other WMG affiliated companies around the world.
Detailed Job Description/ Responsibilities:
• Working closely with the VP of Business & Legal Affairs, negotiate and draft new agreements, and amendments and terminations to existing agreements, with third party record labels;
• Advise and assist ADA senior management with developing and executing ADA’s business plans;
• Work closely with ADA’s Contracts Administrator to ensure that all ADA agreements are accurately summarized and communicated to relevant ADA departments;
• Oversee the Contracts Administrator’s review of existing ADA agreements and help facilitate any follow-up required across ADA offices, including to correct any potential discrepancies between contractual terms and ADA practices;
• Provide ongoing legal advice and guidance to ADA departments, including answering questions and assisting with requests regarding ADA label agreements;
• Help manage and coordinate projects across Business Affairs departments in ADA’s US and UK offices;
• Delegate projects to and work closely with the Coordinator of Business & Legal Affairs, which projects may include tracking the status of all Business Affairs projects, managing documents circulated to third parties, reviewing label financial statements to ensure compliance with contractual terms and contacting labels regarding account status and inventory;
• Participate in the development and implementation of ADA’s contract-related policies and procedures.
Required Competencies/Skills:
• Negotiation skills and negotiation experience (in particular, the ability to manage negotiations with both sophisticated companies as well as small label entrepreneurs)
• Ability to work independently, with minimal oversight
• Refined and well-practiced drafting skills (in particular, the ability to draft quickly, and to develop creative solutions with demanding partners)
• The ability to manage and prioritize large numbers of projects;
• Strong organization skills; ability to manage and track hundreds of agreements
• Excellent communicator, team player, and dedicated professional
• Expertise in the recorded music industry as well as legal issues related thereto preferred
• Familiarity with independent labels and independent music preferred
Education/Experience Required:
• J.D. with at least 3 years transactional legal experience
• At least 2 years of experience working as a music lawyer is preferred
• Familiarity with music distribution and recording agreements is preferred
• Candidates must be in good standing in their local jurisdiction.
