Warner Bros. Entertainment Inc. is looking for a Senior Paralegal to join its Corporate Legal department. The position will be responsible for legal functions in the International Theatrical division.

The Senior Paralegal will be tasked with the following responsibilities:
•Prepares and executes documentation required for corporate maintenance such as shareholder's resolutions; director's resolutions and unanimous consents; waivers and proxies concerning annual meetings for the Warner Delaware Corporations; certificates and affidavits regarding various business matters; and corporate files. Provides to Time Warner Corporate Database updated information on Warner Bros. companies.
•Prepares general and special Powers of Attorney (and revocations) and maintains a list tracking historical and current Powers.
•Prepares French Literary Rights Affidavits and/or Distribution Rights Certificates involving detailed review of chain of title and coordination with Production Legal Department, talent, and French and UK local offices.
•Processes requests for Certificates of Origin for studio motion picture releases in various countries with MPAA or other applicable agencies.
•Prepares international promotional licenses and commercial tie-in branding agreements in coordination with international promotions and publicity departments.
•Coordinates with international office managers and local attorneys regarding local corporate maintenance matters; documentation for territorial filings; etc. Reviews or drafts minutes of meetings of foreign corporations and arranges Board of Directors’ meetings as required pursuant to current corporations regulations.
•Files documents in and maintains corporations’ minute books for the Shareholders’ and Boards of Directors’ Annual Meetings of certain Warner’s entities, drafts resolutions as necessary.
•Prepares Banking Resolutions for certain Warner entities in coordination with Treasury Department.
•Notarizes documents and secures legalization of documents to be filed in foreign territories. Verifies that corporate papers are properly notarized, certified by the LA County Clerk, legalized by applicable government entities, or Apostille certified, etc.
•Assists in the preparation of the following during the formation of new Warner entities: Sale of Assets Agreements; Loan and Pledge Agreements; Shareholder’s Agreements; Indemnity Agreements; Services Agreements; Articles of Incorporation; Corporate Resolutions.
•Prepares various international, outright sales, franchise, local production, acquisition and licensing agreements. Prepares periodic reports such as Summary of Outright Sales.

The ideal candidate will have the following qualifications and credentials:
•High School diploma or equivalent required.
•College degree strongly preferred.
•Paralegal certificate required.
•Notary strongly preferred – candidate will be required to become a notary.
•Minimum 4 -5 years paralegal experience.
•Entertainment and transactional contract experience.
•Experience with copyright/chain of title in the motion picture industry.
•Corporate transactional and international experience.
•Excellent written and verbal communication skills.
•Excellent organizational skills.
•Strong knowledge of MS Office Suite, including MS Word, MS Excel, and MS Access.
