Purpose of this job:
The position of Vice President, Business & Legal Affairs will be responsible for providing legal support for transactions involving licensing and distributing film and TV content to cable, telco and satellite providers, technology companies and other third parties. Substantial experience working on content acquisition and content distribution transactions is highly preferred. The position also will provide legal advice and counsel relating to technology licensing, corporate and commercial transactions, among other areas. Reporting to the General Counsel, this person will work closely with Vubiquity's Sales, Technology, Programming and Finance teams on structuring, negotiating and drafting a variety of transactions.
Major Activities to ensure achievement of key results and deliverables:
• Drafting and negotiating video on demand, pay per view and linear TV transactions
• Negotiating and structuring deals with MVPDs and content providers
• Providing legal advice to senior executives and managing legal risk
• Assisting GC with corporate transactions and other special projects
Additional Responsibilities:
• Responsible for negotiating, drafting and interpreting complex business contracts, including but not limited to third party service agreements, sales and marketing agreements, promotional agreements, licenses, and intellectual property and software license agreements.
Knowledge, Skills, and Experience:
• JD degree from a top tier law school
• 8-12 years of legal experience
• Law firm and in-house experience preferred
• Extensive experience working on content licensing and distribution transactions
• Flexibility, a sense of humor, and commitment to professionalism and collegiality
• Requires someone who can operate in a fast paced environment and handle multiple projects under time constraints
• Significant client contact at the senior management level - strong communication and interpersonal skills required
• Occasional travel required
