PRINCIPAL RESPONSIBILITIES:
Drafting, reviewing and negotiating license agreements for Consumer Products division and such other licenses or agreements, as instructed, for LatAm region for Legal Counsel’s review and approval;
Drafting, review, negotiating and corresponding on all transaction business licenses and amendments supervised by Counsel in respect of contractual comments/ queries and negotiations – translating correspondence and contracts into Spanish, per usual business workflow and policy
Drafting such other contracts and amendments requested for Counsel’s review and approval.
Assist Legal Counsel of BALA on special projects as/when instructed and requested.
Reporting to Legal Counsel, Candidate will work extremely closely with all members of the legal team and the wider business team in the LatAm region.
Maintain regular contact with licensees, agents, attorneys and various VMN teams and staff.
Assist in all actions that may be required during the life-time of a license agreement which may include the drafting of amendments, breach letters, cease and desist letters, termination letters, assignment letters, customs letters and other legal documents under the supervision of the Legal Counsel.
Manage the dispatch of hardcopy signed contracts and amendments to other VMN offices for full execution and the dispatch of fully executed contracts and amendments to licensee or agents as required, or manage the execution of agreement executed by electronic signature.
Monitor and remain responsible for services levels, react quickly to issues/high risk situations, maintaining focus and efficiency, escalating to Legal Counsel issues of concern
Manage own cluster/line of business allocation
Monitor and track agreements through to successful conclusion.
Assist in the preparation and review of draft merchandise license agreements and, where required, other agreements such as publishing, promotions, or other service agreements.
Ensure that the Legal Glossary and all Templates are kept up to date
Assist with contractual queries and other queries from legal and business team members.
Working with third party agents, licensees, VMN’s Business Groups, Finance, Creative and the Legal Team to secure final executed contract and help coordinate with relevant teams internally to ensure that all processes are followed correctly to enable collection of monies due.
Basic Qualifications
3-5 years of relevant experience
B.A. Degree, paralegal certificate or equivalent work experience is preferred
