The Associate Principal Counsel will assist the Assistant Chief Counsel in supporting all legal and business affairs matters in a small start-up environment.
Responsibilities
• Serve as legal advisor to business teams on all legal matters
• Work closely with individual departments, teams, and partners to anticipate, identify, and manage legal risk
• Oversee preparation and maintenance of and compliance with a variety of agreements and analyses, such as:
• Website and app development, publishing, and regulatory compliance
• Agreements with content owners and retailers
• Marketing legal review, including social media
• Rights and clearances
• Federal and state regulations
• Privacy and data handling
• Consumer facing agreements
• FTC-related analysis and monitoring
• IP monitoring and protection
• Technology and other vendor agreements
• Actively participate in legal analysis, negotiations and high profile deals involving emerging digital distribution technologies; distribution platforms; and technical operations
• Liaise with internal subject matter experts throughout The Walt Disney Company and outside counsel (e.g., intellectual property, social media, music, media distribution, technology, risk management, antitrust, privacy, COPPA, and licensing ) to resolve complex legal and business challenges and develop policies and ensure compliance with all applicable domestic and international laws and regulations
• Develop and conduct regulatory compliance programs for business teams
• Keep current on related industry legal trends, legislation, and case law
• Establish processes and procedures to create efficiencies in the legal department
Basic Qualifications
• At least 6 years of legal experience with a law firm and/or corporate legal department
• Ability to identify and analyze complex issues and devise solutions and strategies
• Experience in technology, content licensing, or product distribution
• Experience working in a fast paced environment on high profile deals
• Membership in the California Bar or qualification to be Registered In-House Counsel required
• Experience in web/app based content management and distribution and/or the technology industry preferred
• Ability to identify and analyze complex issues and devise solutions and strategies
• Excellent verbal and written communication skills
• Strong drafting and negotiating skills
• Excellent work ethic and commitment to professionalism
• Ability to problem-solve in an efficient, business-friendly, and creative manner
• Ability to work collaboratively and drive consensus on legal matters among multiple stakeholders

Required Education
• Juris Doctorate degree from an accredited law school required
