TV Guide has a challenging opportunity for a Director of Business & Legal Affairs to support TV Guide Network, as it evolves from a television listings channel into a full entertainment programming destination, and tvguide.com, the definitive television and entertainment website. This position will work closely with the EVP of Business & Legal Affairs on legal matters across all departments including programming, marketing, broadcast operations, ad sales and online. This is an excellent opportunity for an experienced Attorney who is looking for growth and wants to excel in a dynamic environment.
Key Responsibilities:
Structure, negotiate and document a wide variety of deals and transactions including those involving in-house and third party development and production, program acquisitions, talent services, online content distribution, new technology development, promotions and sweepstakes and product integration.
Serve as primary advisor to diverse client groups on day-to-day legal matters such as contractual rights, obligations and restrictions, rights clearance, intellectual property, the DMCA and guild/union contracts, providing guidance and direction reflecting sound judgment, strategic vision, and substantive business and legal knowledge and expertise.
Conduct Standards & Practices review of programming and advertising to ensure compliance with corporate and legal guidelines.
Handle corporate matters as needed, including real estate/leases, trademark prosecution and enforcement, litigation and claims and corporate governance and compliance.
Negotiate internally and externally smart, strategic solutions to resolve all issues as they arise.
Required Qualifications/Skills
5-7 years broadcast and/or cable network business and legal affairs experience, preferably in-house.
Exceptional negotiating acumen and proficiency in drafting development, production, acquisition, talent and new media agreements.
Extensive knowledge of the network/cable business and new media distribution, and be very industry savvy.
Ability to communicate and interact with senior level staff effectively, and generate strong client relationships and satisfaction.
A strong working knowledge of trademark and copyright laws, the DMCA, FCC regulations and guild/union contracts.
Excellent organizational and time management skills with the ability to handle multiple projects simultaneously and prioritize appropriately.
Must be a licensed attorney who is a current member of the California Bar.
