Sonar is currently looking for an experienced Contract Administrator to join our Business & Legal Affairs department. The Contract Administrator will work at the Century City headquarters and will report to the Vice President, Business & Legal Affairs.
The Contract Administrator will draft a variety of legal agreements for the Business & Legal Affairs team, with a focus on drafting distribution and licensing agreements, but also drafting acquisition, option, first look and production services agreements, etc. This role requires drafting and contract management expertise, as well as an ability to question/converse about the details of a contract, with both internal and external clients, and in a timely and professional fashion. The ideal candidate will have experience with the content and rights management software FilmTrack, as well as excellent time management and interpersonal skills, and an ability to work both as an individual contributor and team player.
Responsibilities include:
- Accurately and effectively maintaining and administering Sonar's legal contracts and legal contract management systems, including, but not limited to, entering all deal terms into FilmTrack (e.g., rights, license fees, holdback information, etc.), monitoring dates of legal significance (e.g., option, commencement, termination and reversion dates), etc.;
- Drafting long form agreements and deal memos, utilizing a strong attention to detail, and facilitating execution and dissemination of all agreements internally and externally;
- Supervising the restructure of the Business & Legal Affairs digital contract management systems, including transitioning of all department files to FilmTrack;
- Facilitating dissemination of deal terms and updating FilmTrack accordingly, as well as providing rights analyses and reviewing contracts for potential conflicts and issues;
- Ensuring that Sonar satisfies its delivery obligations under its distribution agreements (e.g., delivery of materials, etc.) and coordinating with the Accounting team to ensure invoices are sent to licensees for timely payments;
- Reviewing and providing oversight for all existing contracts by inspecting the contract database and providing technical services in developing a standard and appropriate use of language for each document;
- Establishing and enhancing relationships with Sonar's clients for its benefit, addressing client requests and coordinating solutions to client needs, including client contract and distribution matters; and
- Working effectively with the Sales, Finance and Distribution teams.
EXPERIENCE
- Minimum 3 years proven experience as a contract administrator in the entertainment industry
- Four year college degree required; paralegal certificate a plus
- Previous experience at a studio, network, or distribution company strongly preferred
- Hands-on experience with FilmTrack strongly preferred
KNOWLEDGE/SKILLS
- Excellent verbal and written communication skills
- Must be a confident individual who is a quick learner and self-starter
- Very strong planning, organizational, time management skills required; must be able to manage multiple tasks and meet deadlines
- Excellent ability to interact professionally with all levels of internal and external personnel required; must be a team player; because of exposure to high level confidential information---a high level of integrity, discretion and professionalism in dealing with senior professionals is required
- Must articulate reasons for decisions, and be open to the opinions of others
- Strong attention to detail required
- Must be able to work independently with minimal supervision
- Extremely dependable and highly organized
- Must quickly learn Company's catalogue and stay abreast of projects in development/production
