BASIC FUNCTION
Under the joint direction of the Chief Legal Officer and of the SVP & GM Worldwide Distribution, this position is accountable for providing a full range of business and legal affairs support and critical decision making related to rights administration, development and production agreements, documentation and research, and routine contract drafting. This position interacts internally primarily with the Group's network and production personnel, and externally with third party production personnel and distributors. Where requested or required, the position may also interact with program licensees and television network affiliates.
Primary Responsibilities
• Responsible for all legal matters during the course of development and production, including but not limited to evaluating rights/chain of title issues, clearance matters (including rights and permissions, standards and practices, errors and omissions and 2257 compliance for all TV, Radio and Digital platforms), production insurance, trademark and copyright registrations, guild issues, advertising, promotion and publicity issues.
• Draft, negotiate and administer all agreements related to development and production matters, including but not limited to below-the-line and above-the line cast and crew agreements, music related rights and composer agreements, location agreements, sponsorship and brand integration agreements, visual materials releases, third-party production services agreements and agreements related to interstitial and behind-the scenes production.
• Work closely with production staff and network executives to update and fine tune network standards and risk tolerance.
• Work closely with third party production companies throughout pre-production, production and post-production to ensure their obligations are upheld to the Group's satisfaction.
• Draft, review, analyze and interpret contracts in an accurate and timely manner and provide timely and thoughtful legal advice on potential risks and issues.
• Draft, negotiate and provide legal advice on an effective and timely basis with respect to a wide range of agreements, including but not limited to software agreements, equipment agreements, utilities agreements and independent contractor and consultant agreements.
• Negotiate, manage and track various agreements and creative talent related business matters, as assigned, and supervise routing of agreements through full execution and implementation.
• Advise and liaise with applicable business departments with respect to various business and talent matters, including but not limited to compensation, credits, clearance, reversions, contractual obligations and related content issues.
• Provide support in negotiation and management of deals, as assigned, due diligence, document review and preparation in support of business operations in matters ranging from litigation to major transactions, as needed.
• Advise executives and senior management on contract status, legal risks, and business terms of various deals.
• Ensure that the Group operates in compliance with applicable laws and regulations.
• Guide the development of corporate policies and procedures, including but not limited to including: employee handbook and employee policies and procedures.
• Manage and ensure the protection of the Group's IP portfolio.
• As needed, manage and supervise any litigation involving the company and assist in negotiating settlements for various disputes in order to avoid litigation, including but not limited to overseeing any and all current and past employee related legal issues.
• Provide training to employees on substantive legal topics.
• Create and update all necessary forms and agreements.
• Research and stay current on any business issues and industry information/commercial terms in connection with all of the above.
• Work collaboratively with and advise executives and senior management on business affairs matters. Work closely with legal and finance groups, as well as in collaboration with other divisions on cross-divisional matters.
• Oversee and manage the work of various members of the Business and Legal Affairs department.
• Assist in special research projects or other administrative projects, as needed or requested.
• Other duties as assigned.
PERSON SPECIFICATIONS
• JD degree with California Bar Admission, and a minimum of five years' experience in Business and Legal Affairs in the entertainment industry.
• Requires strong drafting, analytical and organizational skills as well as excellent oral and written communication skills, plus leadership and management ability, tact in dealing with various organizational levels, both internally and externally, and the ability to take initiative and work independently.
