Position Title: Vice President, Business & Legal Affairs (Production & Development)
Location: Santa Monica, CA
Reporting To: SVP, Head of Business & Legal Affairs
Summary
The Vice President of Business & Legal Affairs will be responsible for the negotiation of deals for the development, production, distribution, acquisition and marketing of television programs and feature films produced by Miramax and seeing those deals through to conclusion of the drafting and negotiation of the resulting agreements, including, among others: talent, producer/creator, underlying rights, license, co-production, and digital media agreements. The ideal candidate must be able to function independently and to handle a high volume of deals, matters and agreements to support Miramax's growing television and feature film businesses.
Responsibilities
• Negotiate a variety of production, distribution, acquisition and development deals and negotiate, draft and finalize the applicable agreements, including all above-the-line talent agreements and rights agreements, for scripted television programs and feature films
• Draft, review, negotiate other agreements relating to Miramax Film/TV production and development
• Successful presentation and preservation of rights acquired or commissioned from third parties and above-the-line talent
• Analyze contracts in response to business and client group questions, as well as to provide necessary contractual/research information to other department members and Miramax executives (to assist in business development, litigation risk assessment, etc.)
• Oversee production counsel services for television programs and feature films produced by Miramax in response to all legal questions, including clearances.
• Supervise outside counsel engaged to assist Miramax as and when required
• Supervise/assist colleagues to complete negotiations of development deals
• Minimize risk of lawsuit and maximize protection of company assets
• Represent Miramax in all legal matters relating to any acquisitions
• Other projects at the direction of the SVP, Head of Business & Legal Affairs
Requirements
• JD degree and active member of CA bar
• Outstanding academic credentials (excellent academic record at top tier law school) required
• Requires minimum of 7 years prior transactional experience with 3-5 years in business affairs or a combined business & legal affairs department at a major motion television or motion picture studio or production company, talent agency and/or entertainment law firm
• Extensive scripted television business & legal affairs experience required. Feature film experience beneficial
• Working familiarity with major above-the-line guild agreements
• Outstanding analytic, communication, organizational, negotiation and legal drafting skills
• Sound business judgment and ability to manage multiple matters and conflicting client needs
• Ability to identify and resolve legal issues quickly and communicate effectively to all levels of the organization
• Deep knowledge of entertainment industry distribution and acquisition
• Assertive, detail-oriented, and able to accommodate tight deadlines while working in a fast-paced environment, flexibility or long hours if and when necessary
