Position Title: SVP, Business & Legal Affairs and General Counsel
Location: Santa Monica, CA
Reporting To: CEO
Summary
The SVP of Business & Legal Affairs and General Counsel will serve as the head counsel for Miramax and is a key member of the company's senior leadership team. This role will manage all legal matters impacting Miramax and supervise the company's legal function. The successful candidate will possess a comprehensive legal background and expertise within the Film/TV entertainment industry.
Responsibilities
• Provide strategic guidance and expertise to Miramax senior team on significant legal issues
• Analyze and review corporate contracts, legal agreements and Rights Management issues
• Responsible for the oversight of all business affairs for film and television production & development
• Direct all legal matters covering global distribution and licensing agreements
• Manage the day-to-day operation of the department, including budgeting, resource allocation, recruitment and retention of legal talent
• Analyze and draft documents for litigation matters and rights disputes; oversees and manages all litigation matters
• Responsible for contractual matters relating to the Library as well as distribution related piracy issues and intellectual property rights
• Direct the activities of Rights Management along with Windows & Restrictions (W&R) for Disney
• Overall responsibility for negotiations, a wide variety of development and production agreements, including; writer, rights, producer, director and talent agreements, all key crew and below the line agreements, location and clearance agreements
• Interact extensively and develop relationships with film & television agents and attorneys, producers and directors, as well as television & film business affairs representatives
• Oversee short-form deal memos and test option agreements, as well as review long-form agreements for accuracy of terms negotiated and coordination of payment
• Manage Outside Counsel; select and manage use of outside counsel in a cost effective manner
Requirements
• JD required, preferably from a top tier law school
• Current membership in the California State Bar required
• Minimum 10 years' experience in dealing with legal issues to include Film/TV entertainment, distribution agreements, intellectual property, anti-piracy, licensing, copyright at the Domestic/International levels
• Extensive experience negotiating high-level development/production agreements for Film/TV
• Direct experience leading negotiations for complex film & television deals
• Must have extremely strong legal knowledge and skills as well as superior critical thinking, analytical, drafting, problem-solving and negotiating skills
• Must have extensive experience negotiating and drafting complex commercial agreements
• Must demonstrate integrity, excellent legal judgment and business acumen, strong leadership skills, and the ability to play a significant executive role in the business
