MarVista Entertainment is a fast-growing, full-service independent entertainment studio with a mission to produce, acquire, and distribute premium film and television programming worldwide. MarVista seeks a talented and highly-motivated lawyer to add to its business and legal affairs department. The new VP of Business Affairs will report to the SVP of Business Affairs and will lead negotiations and structure deals related a variety of Mar Vista's business areas.
The VP, Business Affairs will directly manage all business affairs activities for a portion of MarVista's growing slate of movies and television series as MarVista expands into additional types of content and continues on its aggressive growth path. This person will own the negotiation of major deals for MarVista and will be expected to evaluate alternate deal structures, understand risks, and articulate cost/benefit for all considerations in each negotiation. This role will have exposure across all levels of the organization, including regular interaction with the CEO and the executive leadership team.
Responsibilities:
• Lead negotiations with all MarVista business partners, including network partners, external production partners, agencies, talent, licensees, etc
• Negotiate deals as requested by the Executive Vice President, Production & Development at Mar Vista related to series, both television and digital, including talent and underlying rights, network partners, external production partners, etc., and draft contract for such deals.
• Structure agreements required for development and production of series, including underlying rights, talent agreements and co-production agreements with both domestic and international production partners.
• Structure agreements required for development and production of independent film under a variety of structures, including theatrical, TV movie, and new media classifications
• Recommend best practices, including identifying the ideal agreement for each project, building effective compensation structures, optimizing tax credits, defining business models, and advising overall corporate structure.
• Conduct market research to define internal parameters for negotiation and understand expectations of key partners and talent.
• Advise executives on complex business structures, guild issues, and other key risks.
• Manage relationships with external production legal counsel.
Requirements:
• Juris Doctor degree and member in good standing of the California bar
• 7-10 years combined experience as a practicing entertainment attorney at a law firm or in-house, with extensive industry relationships with agents, talent, networks and producers.
• Possess excellent negotiating, drafting, analytical, interpersonal, organizational, prioritizing and time management skills in a high-volume environment, and proven ability to lead negotiations with agencies, networks, and other industry partners.
• Possess extensive knowledge of the entertainment industry including: high level talent agreements relating to television development and production, guild/union and non-union labor and employment law issues relating to series productions; intellectual property law; risk management issues, rights of publicity/privacy issues.
