CPB is currently seeking to hire a Senior Business Affairs Attorney (level 8) reporting to the Vice President, Business Affairs. Salary range is $70,500-$96,900.
General Description:
To provide legal counsel and services to CPB managers and project staff, supporting the preparation and execution of contracts for television, radio, Internet, and new media program development and production and other general corporate business.
Specific Duties:
• Provides legal advice and counsel to CPB staff, identifying legal risks and providing alternatives for consideration in addressing and/or resolving various issues within business operations.
• Structures and negotiates contracts and grants with parties identified to receive funds from CPB, ensuring clarity of expected deliverables and related financial terms.
• Reviews and documents transactional analysis and related business decisions throughout the contracting process. Represents CPB's business interests by analyzing the feasibility of transactions, including strengths and weaknesses. Questions whether the transactions are prudent business arrangements for CPB and are consistent with CPB's objectives, policies, and procedures.
• Drafts contracts and grants based on CPB's standard contract terms and conditions. As necessary, drafts non-standard terms and conditions for agreements. Develops, evaluates and negotiates financial terms and ensures that contracts include adequate rights to accomplish CPB's objectives. Ensures all agreements meet CPB legal and business standards and comply with CPB internal policies.
• Reviews proposed project workscopes and payment and deliverable schedules, and evaluates budget and financial information for each contract. Negotiates workscope, budget and deliverable schedule.
• Works with project staff to evaluate and approve contract and grant deliverables including narrative and financial reports, and authorize contract payments. Advises contractors and grantees of deficiencies in deliverables. Recommends and initiates corrective action when necessary.
• Works collaboratively within a team structure in an advisory capacity to accomplish CPB's objectives. Manages and cultivates relationships with and serves as CPB's primary legal liaison and resource to stations, national public broadcasting organizations and independent producers, regarding contract negotiations and administration.
• Prepares reports and processes contracts utilizing CPB's contracts database and work-flow software.
• Maintains an awareness of emerging legal issues relevant to CPB's business operations.
• Performs other related duties as necessary and assigned.
Required Qualifications:
• Juris Doctorate (JD).
• Member in good standing of a state bar.
• Five years experience with transactional/contract law, preferably related to the media, broadcasting, telecommunications, or a related industry.
• Experience in negotiations and the ability to persuade individuals and groups.
• Demonstrated self-starter with the ability to work independently within given standards and/or established parameters.
• Demonstrated thorough knowledge of contracts, business and financial analysis, and typical contracting procedures.
• Demonstrated ability to exercise judgment, taking into consideration legal risk and business opportunities and concerns.
• Excellent interpersonal skills and attention to detail, and a willingness to work collegially with project staff to meet their needs and to respond to the timelines of others.
• Strong oral and written communication skills with the abilities to translate complex legal and technical issues into understandable terms and communicate clearly with brevity and comprehensiveness.
• Demonstrated organizational skills with the ability to handle and prioritize a high volume of work, multiple projects, and changing priorities.
• Proficiency with Microsoft Office.
• Ability to handle confidential information with discretion.
Desired Qualifications:
• Familiarity with intellectual property and entertainment issues, as well as new media and related issues.
• Previous experience as in-house counsel, particularly with a grants-making, non-profit, or public broadcasting entity.
• Knowledge of the legal or business environment in which CPB operates.
• Familiarity with grants in the area of education, particularly the rules and regulations regarding grants from the U.S. Department of Education.
• Familiarity with the legal and technical issues of media technology, particularly content distribution, digital rights management, and risks associated with cloud and managed services.
