Full Time Job
• Draft, review and negotiate program syndication licenses for international programs sales business throughout Europe, Middle East and Africa (EMEA).
• Prepare license agreements and review and analyze contracts drafted by licensees.
• Negotiate with lawyers and business affairs executives throughout EMEA.
• Draft, review and negotiate distribution agreements for A E content on international digital media platforms, including mobile and broadband platforms and linear and non-linear (VOD) distribution.
• Support corporate transactions with channel partners for launch of A E branded channels in EMEA, including, A&E, History, Lifetime, fyi, H2 and Crime & Investigation.
• Draft and review program and trademark license agreements, joint venture and shareholder agreements, service agreements and other contracts with international channel partners.
• Negotiate digital media transactions and content licenses with A E international joint ventures.
• Consult with digital media and programming business teams in London and New York and at joint ventures in UK, Germany and Iberia.
• Review and sign-off on contract data inputted into Jaguar rights management system by contract analyst, including assisting with resolution of any rights issues.
• Analyze and update agreement forms, systems and procedures to help advance sales business in line with current annual growth rate.
• Coordinate and interact with worldwide program sales team in New York, London and Singapore, and O&O office in Rome, to support and facilitate sales and contracting.
• Daily conference calls and email correspondence; attendance at pre-MIP sales conferences and other International Division meetings, conferences and strategy sessions in New York; and participation in annual International Conference at various international locations (New York, Toronto, Dublin, Prague, Barcelona, etc.).
• Keep contracts up-to-date, consistent with A E policies, technological developments and market trends, and protect A E intellectual property.
• Build strong working relationships with internal and external clients and collaborate on a range of international-focused transactions.
• Advise on UK and EU regulatory matters.
• Participate and represent A E Networks EMEA in industry forums, and work with external counsel to maintain awareness of regulatory changes/requirements.
• Ensure A E risk profile is adequately protected and managed by reference to applicable laws.
Required Experience:
-At least seven years of experience (five of which is Post-Qualified Experience (PQE)) from a top-tier law firm and/or a TMT company (ideally within a media environment in the field of television/digital media).
-Experience negotiating complex licensing, including content licensing and digital media, and other commercial agreements both domestically and cross-border.
-Significant exposure to, and understanding of, matters relative to protection of intellectual property.
-3 years of experience in the legal department of a media company or handling intellectual property matters in an in-house position.
-Exposure to international matters and clients.
-Knowledge of at least one foreign language.
Required Education:
-University degree from highly regarded university.
-Qualified Solicitor in England & Wales
