Full Time Job
Draft various marketing and promotions related agreements and amendments (e.g., master services agreements, statements of works, confidentiality, indemnification letters) as well as programming related agreements (e.g., development, commission, co-production), as directed and assigned, handling all steps (e.g., reviewing comments and redrafting, handling negotiation of language) through mutual execution of applicable agreement. Advise marketing, ad sales, programming and other departments regarding L&BA issues as assigned, research contract questions and other matters as required.
Marketing & Promotion Projects:
-Review and draft (some negotiation) marketing-related agreements/amendments, including statements of work, confidentiality agreements and event contracts with outside vendors.
-Draft sweepstakes and contests rules and corresponding documents for promotions held across all platforms for the A E brands. This includes drafting official rules, indemnification letters, affidavits of eligibility, releases, government tax forms, etc.
-Assist in the review of proposed advertising and marketing materials to ensure compliance with Federal and State laws, rules and regulations, as well as adherence to best practices.
-Participate in standardizing marketing templates, process and legal guidance where possible to improve efficiency of legal services to business units.
Programming Projects:
-Drafting, and in some instances, negotiate programming agreements following review of preliminary documents (e.g., approved forms, e-mails, rights-holder documents, etc. pertaining to underlying rights); confer with applicable Content attorneys; interact with agents, lawyers and others representing contracting parties, as well as parties representing underlying rights, talent, etc.; sheppard projects from authorization to mutual execution.
-Draft and negotiate basic programming agreements utilizing AETN templates. Interact with AETN attorneys, programming personnel and outside counsel, and review and redraft, as necessary.
-Ensure that agreements are concluded quickly and accurately and that they meet AETN's needs and specifications, apprising supervising attorney and as directed.
Required Experience:
Attorney with 3 years (or, Paralegal with 5 years) of legal experience, marketing, business-affairs, contracts administration, or programming experience (or mix of work in those areas).
Preferred: Attorney with 3 years (or, Paralegal with 5 years) of legal experience in the legal and/or business affairs dept of a cable or broadcast network, music co. or other media co.

-Thorough knowledge and understanding of social media and/or marketing
-Excellent writing, oral communication, analytical and organizational skills
-Ability to work both independently and collaboratively
-Ability to handle high-volume, multiple priorities
-Solid organizational and time management skills
Required Education:
College Degree (BS or BA);
Preferred: JD Degree; admitted to NY State Bar; Paralegal certificate
