Full Time Job
Position Summary:
One of two primary lawyers handing transactions related to information technology (IT), operations and engineering for the Company, including software licensing, technology infrastructure and international technology services arrangements.
Advise IT and engineering division on relevant legal issues and develop and manage best practices for structure and negotiations of transactions.
• Draft, review and negotiate a wide-range of technology agreements, including master service agreements and statements of work (SOWs), as well as agreements for software licenses (including SaaS, IaaS and related services), outsourcing, application upgrades, computer maintenance and support, telephony service, equipment purchase and installation, custom development and design, transcoding services and co-location.
• Oversee outside counsel handling overflow and specialized transactions for IT and engineering division
Qualification Requirements
• Minimum 5-7 years of experience with technology transactions
• 9 years of legal experience
• Extensive transactional and intellectual property legal experience, including software licensing (SaaS), and related contract drafting and negotiation, preferably in the IT or digital media area of a television or technology business.
• Hardware procurement and support
• IT enterprise infrastructure, including cloud services
• Software and services for corporate systems, including accounting/finance/ad sales
• Domestic and international privacy and data security laws, best practices and compliance
• IT consulting agreements
• Working directly with engineers and IT teams to structure and negotiate contracts
• Team player, creative and flexible.
• Ability to build consensus among different players.
Desired:
• 4 years of experience in the legal or business affairs department of a cable or broadcast network, a technology company or another media business.
