POSTION SUMMARY
Conduct advanced legal review of third party licenses and programming and distribution agreements. Counsel external producers and internal programming executives in the context of an evolving media rights landscape. Ensure accurate and timely review and approval of legal deliverables. Risk assess and issue-spot non-standard license and programming agreement terms, as well as fair use and copyright claims. Analyze all forms of programming deals for entry into Rights Management database. Advise on complex asset availability to various internal business units. Troubleshoot and conduct training on various systems feeding into the Rights Management database. Strategize rights and system solutions for Digital and Distribution's automation and workflow needs. Spearhead departmental initiatives including: data integrity and quality control projects, early producer engagement and outreach strategies, education around licensing standards and Network legal deliverables process, and provision of complex media and territory rights information on all types of distribution methods.
PRIMARY DUTIES
• Legal review and approval of all documentation (rights bible deliverables) from outside production companies and entry of deal terms into Rights Management database.
• Counsel producers on how to cure deficient third-party licenses and coordinate with internal programming executives and various business units to establish whether rights waivers should be granted.
• Perform detailed contract analysis on all third party license agreements. Research use of public domain materials and perform initial risk assessment as to acceptability of non-standard licenses and releases. Flag fair use elements and present to litigation counsel for review and final sign-off.
• Review and approve rights bible deliverables and third party agreements and enter all deal terms into the Rights Management database. Perform data transfer of third party rights information from rights bible producer portal to Rights Management database and set up contract records accordingly.
• Analyze all forms of programming agreements to determine exploitation rights (i.e., complex media rights, term, territories, and broadcast restrictions) contained therein for entry into the Rights Management database.
• Advise on complex and dynamic asset availability to various internal business units on run restrictions, residuals, digital and multiplatform restrictions to maximize revenue potential and minimize risk.
• Strategize rights and system solutions for Digital and Distribution's automation and workflow needs. Advise on comprehensive rights analysis on programming inventory availability and impact on distribution methods. Qualification Requirements Required Experience:
• Minimum of four-year experience analyzing third party licenses (music, stills, stock footage) and various programming and distribution agreements.
• Superior legal knowledge of linear and multiplatform distribution rights.
• Understanding of music copyright licensing and the required documentation based on usage type within programming, including the identification of controlled portions of compositions/fees.
• Must have media rights database experience, with particular background in creating contract records, versioning contracts, researching rights, generating reports, and entering legal rights data. Experience working specifically on Jaguar System 7 Universal Rights Management rights tracking software is a plus.
• There is a high level of decision-making in this position and a high level of productivity and accuracy expected, as is an ability and willingness to work within a team environment.
• The position is client-facing and service-oriented, so excellent interpersonal communication skills are necessary. An ability to discuss technology issues with members of IT staff and clients is critical.The analyst must have strong-multitasking skills and have extensive experience with various troubleshooting methods.
• Prior experience working at a television network, cable network, film studio, television distribution company, a law firm, or similar business that specializes in entertainment/media transactions.
