Summary
Negotiate, draft, and manage (as directed by supervisors) all stages of television-programming deals, with special emphasis on nonfiction pilot/series and documentary specials. Advise Programming, Production, and other departments with respect to production, licensing, contract and rights issues. Draft, revise, and construe varied agreements relating to real-life/vérité series and other nonfiction programs and films (e.g., commission, co-production, acquisition, development, talent, writer, director, producer, and film distribution agreements), as well as agreements pertaining to promotion and marketing (e.g., service providers, including talent, writers, marketing consultants, etc.).
Primary Duties
Negotiate the structure and deal terms for programming projects (i.e., series, miniseries and specials), both commissioned and licensed, based on management authorization. Draft, revise, and finalize agreements (including amendments to existing deals). Review and respond to documents drafted by outside parties. Communicate effectively with Programming executives who are supervising assigned projects and with supervising L&BA attorneys; keep both internal clients and L&BA supervisor abreast of status of projects. Track status of agreements and amendments from initial assignment and preparation through execution; and, thereafter, counsel internal clients regarding production issues; and respond to issues raised by program producers, their lawyers, and agents.
Draft documents based on L&BA standard forms; respond to unanticipated or cutting-edge issues with proposals for ''best practices''; and draft provisions embodying such proposals. Advise and inform colleagues based on past experience, including experience with other television networks, to ensure that AETN remains up-to-date and competitive with major industry players. Review work and discuss issues with supervising attorney and others (e.g., the applicable programming and/or marketing executives, etc.), as necessary, and make appropriate revisions. Keep track of status of projects and follow up as needed.
Ensure that agreements are concluded quickly and accurately and that they meet clients' specifications, fulfill AETN's needs, and conform to appropriate industry standards.
Handle matters (as assigned) relating to programming, brand and other initiatives (e.g., marketing and promotional activities with talent-related issues, product-placement transactions, production activities, intellectual property issues relating to content and editing of programs, etc.).
Interact with internal clients and applicable parties outside the company to identify relevant facts, spot problematic issues, make determinations/adjustments to meet AETN client goals, and ensure that matters are handled appropriately and in accordance with company-wide policy.
Qualification Requirements Experience
A minimum of three to four years of experience at a law firm or media/entertainment business (experience with U.S. and foreign television production and licensing, either at a cable or broadcast network, a production company, a plus).
Background in intellectual property and electronic-media rights will be especially helpful.
Essential to this position are strong interpersonal skills and well-developed writing ability; prior legal drafting experience will be beneficial.
Must be organized, detail-oriented, and comfortable operating in a cooperative, ''team'' environment.
