Full Time Job
Domestic M&A/Corporate Transactions
• Advise on domestic business development and corporate transactions, including joint ventures, asset and stock acquisitions and divestitures, mergers, and other equity-related transactions and third-party partnerships.
• Structure, review, draft and negotiate agreements and provide analysis and strategic advice.
• Work closely with Corporate Development Group.
International M&A/Channel Transactions
• Counsel on formation and structuring of joint ventures and licensing of A E-branded channels throughout Canada, Latin America, Europe, the Middle East, Africa and Asia; and other international business development transactions, including potential channel and asset acquisitions.
• Advise on regulatory approvals, corporate governance and funding arrangements.
• Structure, review, draft and negotiate agreements and provide analysis and strategic advice.
• Work closely with International Business Development team in New York, London and Singapore.
Domestic Corporate Advisory
• Advise on corporate governance matters and handle corporate compliance for A E subsidiary entities.
• Consult with internal and external advisors and review corporate documents and filings.
International Strategic Advisory
• Participate in International Division management meetings, off-sites and other strategy sessions.
• Actively participate in the International Division's growth by counseling on issues of strategic importance and providing analytical insight and perspective to the management team.
Digital Media Transactions
• Provide support for international and domestic digital media deals, including contracts for licensing-in and licensing-out of content on broadband, mobile and other digital media platforms, product development and service providers.
• Discuss contractual provisions, digital rights analysis, anti-piracy and other applicable policies, exclusivity and issues relating to overlap of global content distribution across digital media, channel, syndication and other new platforms.
Banking & Finance
• Handle credit agreements, note purchase agreements, transfers of private placement notes, currency hedging transactions, re-financings and other financing matters.
• Support operational banking matters domestically and overseas.
• Review, draft and negotiate documentation.
• Work closely with Treasury Group within Finance & Accounting Department.
Global Transaction Coordination
• Coordinate and interact with worldwide business development teams in New York, London and Singapore to support and facilitate corporate transactions.
• Daily conference calls; attendance at Corporate Development Group and International Division meetings, conferences and strategy sessions in New York; and participation in annual International Conference at various locations (Madrid, Dublin, Prague, Barcelona, Rome, etc.).
• Build strong working relationships with internal and external clients and collaborate on a range of transactions both in the US and internationally.
Qualification Requirements Required Experience:
• Extensive transactional experience structuring and negotiating both domestic and international mergers & acquisitions, divestitures, joint ventures, financings and strategic alliances.
• Significant experience negotiating complex commercial agreements both domestically and cross-border, preferably related to media and technology.
• 7 years of M&A and corporate transactional work.
• Experience working in an environment of organic growth, acquisitions and business partnerships.
• Team player, creative and flexible.
• Strong project management skills – ability to work on multiple projects and engage with multiple stakeholders in a challenging and fast-paced environment.
• Excellent communication (verbal and written) and interpersonal skills, including the ability to build relationships with clients and colleagues.
• Strong negotiation skills, business acumen and business savvy.
Desired Experience:
• Exposure to international matters and clients.
• Exposure to various facets of the media industry, including experience in intellectual property, regulatory issues, digital media distribution and other emerging technology platforms.
Educational Requirements JD Degree
